Are the board prohibited from soliciting a higher or superior offer? That usually only happens if there is a break fee, which is paid to the target, not the board. If they agreed not to look for a superior bid, when the minorities obtained no benefit (there is no break fee here, is there??), then you have yet another reason to complain to ASIC/Takeovers Panel/etc.
