Ric, there is absolutely no way Mega can float without Uley, it has to be part of the Mega IPO.
You'll find that the TS will be vote to exchange Uley for 33%/$70m of Mega as part of an underwritten IPO that I suspect will be a partial float.
The TS will be a very complex doc outlining the IPO, timing and underwritten value.
I suspect that around 40% of Mega stock will be retained by it's current owners/backers.
Given MM assurances & confidence in Mega the remaining doubt in my mind is how the Mega stock performs once listed.
