ICP value Gossan Hill base on the unaudited accounts as at 30.06.13 with NAV of $0.8m. This translates to NAV per share of GH on completion of the proposed subscription at $0.012.

This also base on JORC of 650,000 oz of gold.

As part of the transaction Acea is entitle to appoint 2 directors to the board of GH as long as it remains a shareholder of Gossan. However, no directors proposed to be appointed to the co at this point in time.

Aw Cheok Huat is an executive director and major SH of MS corporate finance who had introduce ICP to GH and arranged for the Transaction. MS will receive a$100,000 as fee.

Aw Huat is one of top 20 SH of RAF and major SH of ICP.

After the ACEA deal, there is now an added element of financial risk. Options was issued to SOC, current SH of GH and ACEA. Should SOC not convert their holding of options, then the shareholding in GH will reduce over time.
