    They way I read it is...
    IF there's a takeover bid, but the options aren't exercisable yet, then the directors risk losing those options.

    If there is a takeover bid, which becomes unconditional (i.e. very high acceptance), then they can exercise, get shares, and sell to takeover party for a profit.
