1. son "borrows" other people's hard earned from company he is a director of (OPES)
2. son "lends" hard earned to father's company
3. father "on-lends" hard earned to another company - ADY
4. son is also director of ADY
5. father substantially writes down loan by receiving equity in ADY
6. no doubt the father now becoming a "sophisticated investor" will be able to impeccably time his buys and shorts
one has to ask who was looking after the interests of all the "non-sophisticated" investors at the time.
understandably, PT was busy looking up the definition of FOB at the time
