MEETING: DIL: Diligent 2012 Annual Stockholders Meeting
Diligent 2012 Annual Stockholders Meeting
At its Annual Stockholders Meeting earlier today, the stockholders of
Diligent Board Member Services, Inc. adopted the following actions:
1. Messrs. Alessandro Sodi, Rick Bettle, Mark Russell and Joseph Carrabino,
Jr. were elected to the Board of Directors of the Company.
2. Holtz Rubenstein Reminick was ratified as the auditors of the Company for
the fiscal year ending December 31, 2012.
3. The Company's Certificate of Incorporation was amended to classify the
Company's Board of Directors into three classes with staggered terms.
4. The Company's Certificate of Incorporation was amended to provide for a
range of directors not fewer than four or more than seven, to authorize the
Board or the stockholders at an annual meeting to establish the number of
directors within the range and to authorize the Board to fill vacancies on
the Board.
5. An amendment of the Company's 2010 Stock Option and Incentive Plan to
increase the number of shares of the Company's stock by 2.5 million that are
available for issuance pursuant to options awarded under the 2010 Plan was
approved.
The Board of Directors has determined that Messrs. Rick Bettle, Mark Russell
and Joseph Carrabino Jr. are independent directors.
