UNSOLICITED OFFER BY ZERO COMMISSION NZ LTD
On 18 April 2012, a company called Zero Commission NZ Ltd made a request to
be provided with a copy of Tourism Holdings Limited's (thl) share register
for those shareholders holding up to and including 3000 shares in thl. A
copy of the share register was provided to Zero Commission NZ Ltd, as is
required by law (under the Companies Act 1993).
It has been bought to our attention that Zero Commission NZ Ltd has now
written to shareholders of thl who hold fewer than 3000 shares with an offer
to buy their thl shares for $0.54 per share. The offer is for a maximum
350,000 thl shares
You should be aware that the Board of thl does not endorse this offer.
For your information, the last share trade for thl shares prior to the date
of this letter was at a price of $0.60 per share on 03 May 2012. thl is
listed on the NZSX and shareholders are able to trade their shares through
this market using a licensed share broker.
We recommend that shareholders who have received an offer from Zero
Commission NZ Ltd seek independent financial or legal advice if they are
uncertain about this matter or are contemplating selling their thl shares.
Shareholders are under no obligation to accept any offer or to take any
action in respect of it.
Shareholders accepting the offer should be aware that they are likely to be
in the position of being an unsecured creditor of Zero Commission NZ Ltd
during the period between their shares being transferred to Zero Commission
NZ Ltd and receiving full payment from Zero Commission NZ Ltd.
