Chorus Limited is pleased to advise that all resolutions were passed by poll
at its annual meeting of shareholders held today in Wellington. The
resolutions were:
Resolution 1 - That Ms Prudence Flacks be elected as a director of Chorus.
For: 230,492,751 (99.96%)
Against: 91,788 (0.04%)
Abstain: 265,115
Resolution 2 - That Mr Jonathan Hartley be elected as a director of Chorus.
For: 230,444,434 (99.95%)
Against: 122,080 (0.05%)
Abstain: 283,140
Resolution 3 - That Mr Mark Ratcliffe be elected as a director of Chorus.
For: 230,585,214 (99.98%)
Against: 36,717 (0.02%)
Abstain: 227,723
Resolution 4 - That KPMG be appointed as auditors of Chorus to:
a.hold office from the conclusion of this meeting to the conclusion of the
next annual meeting; and
b.audit Chorus' financial statements (and group financial statements) for the
financial year ending 30 June 2013.

Resolution 5 - That the directors be authorised to fix the remuneration of
KPMG as auditor for the ensuing year.

directors (in their capacity as directors) be fixed at $980,000 per annum.
