Issue of securities on 31 October 2012 in part satisfaction of consideration
due to Hauraki Motor Homes Limited (previously called United Vehicle Rentals
Limited) by Tourism Holdings Limited pursuant to an Asset Sale Agreement
between those parties dated 2 September 2012. The number of securities
issued on completion of the Asset Sale Agreement to Hauraki Motor Homes
Limited was 6,444,265 ordinary shares for consideration of NZ$3,989,000,
being $0.619 per share.
A copy of an Escrow Deed which qualifies Hauraki Motor Home Limited's power
to dispose of the shares is attached (10 pages in total).
