director or officer has relevant interest
Number, class, and type of securities: 700,000 shares of Company's common
stock (ordinary shares).
C. Nature of relevant interest and name of registered holder
Nature of relevant interest in securities:
(i) On 21 December 2012 (NZ Time), Spring Street Partners, LP (through which
David Liptak has a relevant interest in the common stock (ordinary shares)
and Series A Preferred Stock of the Company) transferred 700,000 shares of
common stock to David Liptak personally. The result of this transfer was
that David Liptak retained a relevant interest in the 700,000 shares, but
that the nature of Mr. Liptak's relevant interest changed from indirect
(arising from his control of Spring Street Partners, LP) to direct ownership.
(ii) On 21 December 2012 (NZ Time), David Liptak transferred the 700,000
shares to Etta Brandman and Janet Taylor, who are co-trustees of Liptak 2012
Family Agreement, a trust for the benefit of David Liptak's children. David
Liptak is neither a trustee nor a beneficiary of that trust and neither does
he have any form of control or influence over it. Accordingly David Liptak
has ceased to have a relevant interest in those shares.
