The concept of shareholder rep(s) on the board sounds good to me, to be across issuing of RSU’s to execs considering it’s an ongoing concern for shareholders.
The practical implementation would probably be tricky though. As would require inside visibility for the SH Rep of exec performance targets and access up to date data on progress against KPI’s, which would require a tight confidentiality / NDA on the rep, which would then mean shareholders would just have to live with rep decisions without much visibility.
Reps would also be in a trade blackout given the info supplied to prevent insider trading ( so would have to be compensated in some way as well to not be disadvantaged) . Also not sure if just one rep is enough to maintain integrity
