Just so I have this clear,

Directed Proxies= People voting prior to the meeting online or by post

Undirected Proxies = People ticking the box giving the chairman their votes.

If the case you're making is that the undirected proxies shouldn't count because you don't know how they wanted to vote, then please stop this nonsense. If you gave the chairman your vote, you know that he's going to vote as per the boards instructions to vote.

If you didn't expect him to vote as per the boards voting instructions, then I think you should have your shares stripped off you, and have yourselves put in a home for the "special".
