Here's the definition/s of PROXY
"- the authority to represent someone else, especially in voting.
- a person authorized to act on behalf of another.
- a document authorizing a person to vote on another’s behalf."
You can't NOT count the proxies and claim some contrived outcome is valid when the proxies gave the Charman/Deputy Chairman the AUTHORITY to represent the shareholder submitting the proxy.
