instructions to this form: Z Energy Holdings Limited, Z Energy Limited and
Aotea Energy Holdings No 2 Limited have entered into an Agreement for Sale
and Purchase of Shares in The New Zealand Refining Company Limited and on
Intercompany Debt dated 25 July 2013 pursuant to which Z Energy Holdings
Limited has agreed to sell and transfer the shares in  The New Zealand
Refining Company Limited held by it to Z Energy Limited, with the transfer
taking effect from 21 August 2013. This agreement was attached to the last
disclosure of 25 July 2013.
