FINAL DIVIDEND PAYABLE 24 SEPTEMBER AND DIVIDEND REINVESTMENT PLAN (DRP)

On 6 August 2013, Downer EDI Limited declared a final dividend of 11 cents
per ordinary share, 70% franked, with the unfranked amount to be paid from
conduit foreign income, with a record date of 20 August 2013 and payable on
24 September 2013.

The company's DRP operates in respect to the 2013 final dividend, with zero
discount.  In accordance with the rules of the DRP, the issue price is
calculated as the arithmetic average of the daily volume weighted average
price of Downer EDI shares traded on the Australian Securities Exchange
during the ten trading days commencing on the second trading day after the
record date.

The issue price for the shares to be allotted pursuant to participation in
the DRP for the 2013 interim dividend will be $4.23 per share.
