NOTIFICATION OF CONVERSION OF SECURITIES - SERIES A PREFERRED STOCK

For the purposes of Listing Rule 7.12.9 of the NZSX/NZDX Listing Rules,
Diligent Board Member Services, Inc. advises that the following securities
have converted today:

a. Number and class of securities converted
2,667,123 Series A Preferred Stock converted into Ordinary Shares

b. Interest and dividend conditions
Holders of the converted Series A Preferred Stock will receive US$5,144.26
being the accrued, but undeclared, dividend on those securities
