2014 Annual Shareholders Meeting Results
Diligent Board Member Services, Inc. (the Company) is pleased to advise that
all resolutions put to its annual meeting of shareholders held in Auckland
today were passed by shareholders. The number of votes cast for each of the
resolutions was:
1(a) Election of Hans Kobler as Class II director 44,998,683 votes
98.50% of votes cast
1(b) Election of Mark Weldon as Class II director 40,086,923 votes
87.75% of votes cast
2 Ratification of A. Laurence Jones' appointment as a Class I director
75,018,325 votes
99.12% of votes cast
3 Ratification of the appointment of Deloitte & Touche LLP as the Company's
independent registered public accounting firm to audit the consolidated
financial statements of the Company and its subsidiaries for the fiscal year
ending December 31, 2014
