NOTIFICATION OF CONVERSION OF SECURITIES - OPTIONS

For the purposes of Listing Rule 7.12.9 of the NZSX/NZDX Listing Rules,
Diligent Board Member Services, Inc. (DIL) advises that the following
securities have converted today:

a Number and class of securities converted  45,000 unlisted options granted
under DIL's 2007 Incentive Plan on 9 October 2009 (Options) converted into
Ordinary Shares.

b Interest and dividend conditions N/A.
