Directors decide on all things to do with the company including dividends.
Shareholders elect the directors.
If they wished to, those that held 45% of the shares would get organised to have some existing directors voted out and new ones voted in.
Once they have say 4 out of 7 directors in their camp, they are in control on dividends etc.
In the end the shareholders in fact do have their say via their voting for or against certain directors to change the board makeup.
