However I would like to point out that directors nominate directors for the Board and usually oversee the appointment of the CEO, CFO etc.
Good Boards have a committee that evaluates the performance of each member of the Board on a regular basis on things such as attendance at Board meetings, membership of Board committees( audit, remuneration,risk etc) , contribution at Board meetings and other factors.
Board members can recommend that one of their number do not re-nominate for election if the other members of the Board feel that he/she is not fulfilling their role adequately.
Boards should be critical of their own performance against the usual business metrics such as growing the business, making a profit etc as well meeting ASX good corporate governance guidelines and obligations as a good corporate citizen both environmentally and socially.
Shareholders at an AGM can vote against any Director standing for re-election but usually these matters are decided by proxy votes. In other words by the large institutional shareholders not by the small Mum & Dad investors.
