Details of transactions and events giving rise to relevant event
Details of the transactions or other events requiring disclosure under the
instructions to this form: On 29 September 2015, NZSF Aotea Limited (being a
nominee of the Guardians of New Zealand Superannuation as manager and
administrator of the New Zealand Superannuation Fund) ("NZSF Aotea")
undertook a block trade involving the off-market sale of 38,900,000 ordinary
shares.  The sale was effected on 1 October 2015, at a sale price of NZ$6.00
per share for aggregate consideration of NZ$233,400,000, with settlement
occurring on 6 October 2015.
On 1 October 2015, in connection with the block trade, Mint Asset Management
Limited agreed to acquire 850,000 ordinary shares in Z Energy Limited on
account of NZSF and as part of its NZSF mandate pursuant to an investment
management agreement, with settlement occurring on 6 October 2015.
On 6 October 2015, 1,100,000 ordinary shares held by NZSF Aotea in Z Energy
Limited were transferred from the portfolio managed by Morrison & Co Funds
Management Limited to NZSF's internally managed equities portfolio.
On 6 October 2015, as part of an internal reorganisation, the remaining
40,000,000 ordinary shares in Z Energy Limited held by NZSF Aotea for and on
behalf of the Guardians of New Zealand Superannuation as manager and
administrator of the New Zealand Superannuation Fund became held directly by
New Zealand Superannuation Fund Nominees Limited also for and behalf of the
Guardians of New Zealand Superannuation as manager and administrator of the
New Zealand Superannuation Fund. These 40,000,000 shares remain under the
management of Morrison & Co Funds Management Limited.
