MEMORANDUM

Subject: Rollover of Fletcher Building Industries Limited Capital Notes
("FBI060" and "FBI070")

Message:

Please be advised of the following information relating to the rollover of
the Fletcher Building Industries Limited Capital Notes that are due to mature
on Sunday, 15 May 2016 ("FBI060" and "FBI070").

The Election Date for FBI060 and FBI070 is Sunday, 15 May 2016 and the
Election Record Date is 5pm, Tuesday, 29 March 2016.

Accordingly, trading in FBI060 and FBI070 will be halted and suspended at
close of business on Wednesday, 23 March 2016.

For those who elect to retain their Capital Notes on the new terms, quotation
of the new FBI150 Notes will commence on Monday, 16 May 2016, being the
business day immediately following the Election Date.

The new terms and details of FBI150 will be provided in a Quotation Notice,
which will be released to market at such time as the information is
available.

A timetable of events is below:

Final day of trading in FBI060 and FBI070: Wednesday, 23 March 2016
Election Record Date: Tuesday, 29 March 2016
Election Notices to be returned to Registry: Tuesday, 26 April 2016
Election Date: Sunday, 15 May 2016
Commencement of trading in FBI150: Monday, 16 May 2016
