To my knowledge the scenerio would be that gmg comes to the shareholders with an offer, this offer is then voted upon. If a specific % of shareholders vote in favour of it going ahead, eg 90%, then it is passed. If a smaller number vote yes then to my knowledge those who vote yes get the payout figure and the rest of the shareholders remain as shareholders, in whatever form that may take.
Today we saw ABB grain have a similar scenario whereby the share price rose from around $6 to $8.50 in a couple of days based on an offer being made at $9.
