4. Resolution 4 – Grant of Incentive Options to Mr Craig Mackay
To consider and, if thought fit, to pass the following resolution as an ordinary resolution:
"That, pursuant to and in accordance with section 208 of the Corporations Act and Listing Rule
10.11 and for all other purposes, the Directors be and are hereby authorised to grant and
issue up to 3,500,000 Incentive Options for no consideration, each option having an exercise
price at a premium of 45% to the volume weighted average of the Shares on the ASX in the
period of 20 trading days leading up to and including 23 November 2009 and an expiry date of 22 November 2014, to Mr Craig Mackay or his nominee, on the terms and conditions set out in
the Explanatory Memorandum (including Annexure A to the Explanatory Memorandum)."
