Yes I believe that his reasoning was similar to yours.
I too am very suss about the way the new management came with the deal rather than being selected, and we don't even get a vote. I don't quite understand how new Directors don't have to be elected! However one day they will have to be, and then we vote on any remuneration package as well. Can't wait!
