There are prisons that welcome Directors for participating in behaviour to manipulate their share price, and while they're in prison the courts would happily make orders to take their $$ to pay back shareholders. Different story if there was clear trading by Management / Board either side of announcements (which they are limitations on under the Company's trading policies)... So there is more to lose than gain for directors doing this.

It is important to remember that the Fiduciary Duty of Directors is to act in the best interests of the Company, and that does not always mean in the interests of the shareholders... Look at Qantas in the pandemic, laying off staff, mothballing planes, refinancing, share price tumbling. It was all done in the interests of keeping the company alive - ultimately this becomes reflected in the share price down the track.

4DS is a ReRAM R&D and product development company - the best interests are to develop the product and sell it (either sell the company or licencing revenue) - this is the company strategy that was around when most of us bought shares, it hasn't changed. The absence of detailed performance metrics is a completely appropriate mechanism to protect the (potentially) highly lucrative IP of the company. Releasing them to appease shareholders now will likely cost us in the future.

I think its right to be upset when we've all had 50% wiped off our share value, but some of these accusations seem to be either baseless or based on limited understanding of how management are trying to achieve their strategy.

The only reason I am insinuating that management caused the downgrade was due to the unnecessary statements made and poor choice of words in the announcement.

The announcement could have been articulated in a way to prevent the shock and awe attack on the share price.

Anyway, those new investors jumping in now are bloody getting a bargain especially while we are at the tail end of delivering the megabit chip.
