Moose - if 4DS is required to notify WD of a takeover offer/finance deal/licensing agreement that would potentially affect the setup of the JDA, wouldn't that be tantamount to a right of first refusal to at least counter what is being put on the table? I'm not suggesting WD can stand in the way of a takeover or direct it to meet their interests.
Maybe "right of refusal" is not the best term - it's more of a right to know and counter offer.
