As I recall, the constitution was changed some years back, giving the board the discretion of whether a takeover is allowed to proceed.
The purpose for this, is so shareholders cannot sell the company without board approval to a hostile / disguised takeover.
The reason for this was, to protect shareholders value.
Shareholders do not have an idea of true value.
Only those in the upper semiconductor industries, truly have an idea.
