1. ISSUE OF SHARES TO AUSTRALIAN AND INTERNATIONAL INVESTORS

To consider and if thought fit, pass with or without amendment, the
following resolution as an ordinary resolution:

That, for the purpose of ASX Listing Rule 7.1, the shareholders of the
Company ratify the allotment and issue of 13.7 million ordinary fully
paid shares in the Company, at an issue price of $0.80, by way of a
private placement made on 7th March 2002, to Australian and
international investor clients of ABN AMRO Morgans Limited.

2. SHARE PURCHASE PLAN

To consider and if thought fit, pass with or without amendment, the
following resolution as an ordinary resolution:

That, for the purpose of ASX Listing Rule 7.1, the shareholders of
the Company approve the allotment and issue of not more than
37,597,500 ordinary fully paid shares in the Company, at an issue
price of $0.80 per share, to eligible shareholders of the Company
pursuant to a Share Purchase Plan."
