re: spp placement Sophisticated Investor is baed on Net Worth and ability to invest.
I'm not sure of the exact numbers but i think they are something like $1.5million in clear assetts not counting the family home and an investment of $250,000 or greater.
The laws governing the control of Sophisticated Investors is different to the normal shmo and it is presumed that they can look after themselves without government hinderance or paperwork.
