Greg, youre missing one variable for each of the companies
Value a couple of weeks prior to T/O offer.
SDL was valued very close to the T/O offer where as BMN was in the 20's before the hanlong reps started playing with the price.
BMN's capital structure wont be condusive to selling 100% @ 62c IMO, and so the market is taking that risk into account.
