I've always liked the terms of Doc Mautner's incentive:
The Options shall vest on achievement of any of the following:
A. The Company being purchased in entirety (business sale/share sale); or
B. An AUD$10 million or greater investment in the Company; or
C. Entering into a licencing agreement with a large Pharmaceutical Company.
