I remember reading the difference between off market take overs and Schemes, when this scheme was first announced and happened to find this site.

In particular this section on page 13
Off Market Take Overs : All security holders must be treated equal. Collateral benefits likely to induce acceptance not allowed.
Scheme of Arrangements : Acceptable if disclosed, although may create separate classes requiring separate votes.
Others may disagree but I would think that Santos's advisors have covered this condition.
It would be nice to be at least treated equally and then vote on the merits of the deal.
