I cannot imagine Directors would sell on market, because if they did they'd have no recourse back to any higher offer (although, Todd can't make a higher offer anyway because they stated it was their final offer). However whilst I'm not sure, I think that if there was a 'Superior Proposal' (from a third party) and Todd decided to beat it, only people who sold to Todd off market would get the benefit of the higher offer. Directors aren't stupid....

BTW, regardless of what others may say, unfortunately I don't think there is some third party offer waiting, because if there was and the directors stated otherwise (which they now have), they would get nailed to the wall by ASIC and others
