PS, you say "directors have a fiduciary responsibility to the company", which is 100% correct. but, directors are voted in by shareholders, if they perform they may continue to be voted in.
if for whatever reason they aren't performing to sharholder satisfaction they're outed, regardless of whether or not fiduciary responsibilities are met.
if fiduciary responsibilities are not met the directors go to jail.
