People sell for different reasons - retirement, burnout, health, more money than they know what to do with......and of course due to declining revenues, competitors, legislative changes, negative industry trends etc.
DD would have covered all issues and EML were happy to take on the risk.
Considering the performance of the current management team, I believe this acquisition is low risk with huge upside.
