The issue of Ward buying in is just too cute!
Here is the story (albeit fiction yet maybe plausible) : WHC stock is getting slammed, Paul calls a conference call with the Board and says we are really hurting with this huge pile of debt, time to raise capital to ensure the long term. A bright spark on the Board says I know an old trick that may work, get a director to buy shares and put out an announcement. This should correct the bleed.
