IMO the 'plan' is to drive off existing shareholders who are not:

• directors
• directors friends
• instos

.....and vend the balance of UMC assets, which include cash + all tenements less Railway, into VNS.

Existing shareholders which will be dominated by the above 3 will then receive an in-specie distribution of 1 VNS for 'x' UMC.

This is where the big ripoff of shareholders not in the loop ends.

That is the reason why Wolfie has changed his sentiment to 'sell'. It's a ploy orchestrated by Matt and executed by Wolfie.
