If you are a shareholder and an option holder you are not entitled to vote. At least you should not be entitled to vote. Its well established principle that you cannot vote where you stand to gain from the motion.
The only people who can vote are shareholders who don't also own options. If the prospectus says otherwise, you will know that this guy is totally dishonest.
So going by your figures, it is very possible to defeat the
motion. All it needs is enough disgruntled shareholders like Beany and me to actually vote.

I don't disagree with the rest of your analysis, however,
I would gently point out to you what the market thinks.
I know you are the eternal optimist, but why don't you try and analyse why the market thinks this company is rubbish?
Everything you say is well known in the market, yet everyday we are sold down. Everytime this guy opens his mouth its down. Everytime he puts out a report its down.
Why do you think this is so?
