As I understand it, TPG tried asset sharing on 4G, everyone told them to get lost. Maybe the ACCC should have stepped in and compelled Telstra to give up access to their network to TPG. That's what the ACCC does nowadays -- tells companies how to expand, what to buy, what to sell?
Re: debt, as DalyWater mentioned, some fiscal voodoo occurs in the merger and a lot of that debt goes away. The merged entity becomes quite strong, with excellent assets, a positive brand (bye bye Vodafail), and stronger management team. Telstra would not want that strong third player and apparently the ACCC doesn't want it either.
