Here is one way to break the impasse created by the numbers on the current BOD. Get 10% of shareholders to request an EGM and then pass an ordinary resolution to sack the overseas directors. Before any new directors are appointed under the subscription agreement the BOD comprising the remaining directors pass resolutions putting into action a Capital raising and seeking project funding from alternative sources outside of China. Those resolutions can not subsequently be overturned upon new directors being appointed under the subscription agreement because there will then be a stalemate in board numbers.
