You wrote "Timis did not get 44ml shares-resolution was withdrawn", but this is not correct.
The shares were issued in October - check the announcements by Cape Lambert.
The resolution was withdrawn but it was not required to be passed in order for the shares to be issued. If the resolution had been passed, it would have created more headroom for the issue of more shares later.
