Hi snax, I believe it is already intended to be even for both sides (1:1 as you say.) with no premium either way. The proportion of shares in the offer is the result of the maths after taking into account the current value of each company, the current number of issued shares (a key factor in the proportions) and working out what it needs to be per share when you add both businesses together.
