in order to take over the company.. it's not as simple as the market cap of $420M + premium.
the buyer will have to take into account of the $600M debt.. hence to outsider.. the company cost at least $1.2B (20% premium) to takeover.
however.. paying $300M for asset that generate income without the debt .. it's a better deal because you somewhat save the company from going BK yet having an interest in a mine.
