"certain" is definitely not the term to use. This is a very (overly??) complex transaction, that looks a bit suspect in terms of motivation.

So buying now ties up your money, and may not be approved by shareholders. Hence the discount, as other investments may provide > 10% in the time frame (4 months?), with less risk.
