Recall that:
1) $10 million of HSK's total $37 million consideration is CQT shares rather than cash.
2) $2 million of the cash consideration will fall due in March 2011.
Also, CQT can only access NQM's cash if they get to 90% Acceptances, then compulsorily acquire the rest of NQM.
