Not a stupid question at all - what grant64 said was wrong and you were right to question it. The deal is a fixed number of PDN shares for each FSN shares, so it is actually in PDNs interest in the FSN shares decline in value and/or the PDN share price increases in value as this is likely to make the conversion more financially attractive to the FSN holders.
