If res 1 gets>25% of votes against then the company has to by law hold a spill meeting with in 90days of vote. Directors vacate office if not re electing etc. others can nominate etc. then we effectively vote for a new board.
If < 25% votes against then all good chairman will withdraw this resolution. Hope this helps.
