A negative for you was the response for directors not holding shares. There asx corporate governance principles do not exclude independent directors holding stock. They exclude management and those associated with substantial shareholders (eg 5%). The chair could and should by a significant stake (let's say 1M shares) and she would still be compliant with the principles.
