The resolution on adoption of the Remuneration report is 'advisory and non-binding'. Boards consider the outcome of the vote and comments from shareholders - during discussion of the items of business, shareholders can ask questions and comment on the Remuneration Report.

If more >25% vote against then it is a first strike. The Board then would be expected to consult with shareholders, advisors, etc to understand and rectify concerns. If yet another strike at the following AGM, then you have would have to vote on the contingent Spill resolution

In short, imo voting against the adoption of the Remuneration Report shouldn't impair the ability to hire a new CEO, but would send the message and open for a Spill resolution next year.
